Terms of Service

By accessing or using AddStaff.ai (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not access or use the Service. These Terms apply to all visitors, users, and anyone who accesses or uses the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

AddStaff.ai is an AI-powered virtual presence platform that allows users to add a hyper-realistic AI assistant to their video meetings on platforms such as Google Meet, Zoom, and Microsoft Teams. The Service is provided on a credit-based model, where credits are consumed per meeting session.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

To use the Service, you must register for an account using Google OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

• You must be at least 16 years of age to create an account.
• You must provide accurate and complete information during registration.
• You may not create an account on behalf of another person without their authorization.
• You must notify us immediately at support@addstaff.ai if you become aware of any unauthorized use of your account.

You agree to use the Service only for lawful purposes. You must not:

• Use the Service to impersonate any person or entity, or to misrepresent your identity in a way that is deceptive or fraudulent.
• Deploy AI-generated participants in meetings without the knowledge and consent of other meeting participants, where required by applicable law.
• Use the Service to record, capture, or transmit meeting content without all required consents under applicable wiretapping, recording, or privacy laws.
• Attempt to reverse-engineer, decompile, or extract the source code of any part of the Service.
• Use automated tools (bots, scrapers, or crawlers) to access the Service in ways that may overload our infrastructure.
• Circumvent any security features, credit accounting mechanisms, or access controls.
• Violate any applicable local, state, national, or international law or regulation.

We reserve the right to suspend or terminate accounts that we determine, in our sole discretion, are in violation of these guidelines.

Credit System

The Service operates on a credit-based model. Credits are consumed when you run a meeting session. The credit cost per session is displayed within the Service and may change with notice.

Purchasing Credits

Credits can be purchased through the Service. All prices are shown in US dollars and are exclusive of applicable taxes unless otherwise stated. Payment is processed by our third-party payment providers.

Refund Policy

Credits are non-refundable once purchased, except where required by applicable law or at our sole discretion in cases of documented technical failure attributable to AddStaff.ai. Subscription fees, if applicable, are non-refundable for any partial billing period.

Free Credits

We may offer free credits as part of promotional programs or early access offers. Free credits may have expiration dates and are subject to additional terms communicated at the time of issuance. We reserve the right to modify or discontinue any promotional credit program at any time.

Our Property

The Service and its original content, features, and functionality — including but not limited to the AI models, software, visual design, trademarks, and brand assets — are and will remain the exclusive property of AddStaff.ai and its licensors.

Your Content

You retain ownership of any content you bring to the Service (e.g., meeting context or profile information). By using the Service, you grant AddStaff.ai a limited, non-exclusive license to process that content solely as necessary to provide the Service to you.

Feedback

If you submit ideas, suggestions, or feedback, you grant us a royalty-free, perpetual, irrevocable license to use and incorporate that feedback into the Service without compensation or attribution.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

The Service integrates with and may link to third-party platforms (e.g., Google Meet, Zoom, Microsoft Teams) and services. These integrations are provided for your convenience; AddStaff.ai has no control over third-party platforms and is not responsible for their content, privacy practices, or availability. Your interactions with third-party services are governed solely by their terms and policies.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results obtained from using the Service will be accurate or reliable.

AI-generated output may contain errors, inaccuracies, or offensive content. You are solely responsible for how you use AI-generated output in your meetings.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADDSTAFF.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO ADDSTAFF.AI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless AddStaff.ai and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of another party.

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to access and use the Service will immediately cease.
• Unused credits are forfeited unless we determine otherwise at our sole discretion.
• Provisions that by their nature should survive termination (e.g., limitation of liability, indemnification) will survive.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

We reserve the right to update or replace these Terms at any time. We will notify you of material changes via email or a prominent in-app notice at least 14 days before the new Terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.
